Good Wish Terms of Service
Last modification: 16 June 2024
1. Accepting the Terms
Please read these Terms of Service (the "Terms") carefully. They form a binding agreement between you and Good Wish PTE LTD ("GOODWISH," "ValueView," "we," or "us") and govern your use of our websites, dashboards, reports, APIs, and related services (collectively, the "Services"). If you do not agree, do not use the Services. Contact us at
[email protected] with questions.
IMPORTANT NOTICE REGARDING ARBITRATION: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 13 BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND GOODWISH WILL BE RESOLVED THROUGH BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL OR PARTICIPATE IN A CLASS ACTION.
2. Services and Suitability
The Services provide AI-assisted analysis of public filings and documents you upload. They are informational tools; they are not investment, legal, tax, or accounting advice and do not create a fiduciary relationship. Outputs may be incomplete, time-sensitive, or incorrect. Validate results against authoritative sources (e.g., official SEC filings) before acting.
You are responsible for ensuring your use complies with U.S. federal and state laws and any industry obligations (including securities, privacy, and export controls). Do not rely on the Services to satisfy regulatory filing obligations.
3. Eligibility and Accounts
You must be at least 18 (or the age of majority in your jurisdiction) and able to form a binding contract. Register with accurate information, keep it current, and safeguard your credentials. You are responsible for activity under your account. Notify us promptly of unauthorized access at
[email protected].
4. Acceptable Use
You agree not to: (a) violate laws, third-party rights, or export controls; (b) upload nonpublic personal data you lack permission to share; (c) probe or breach security or interfere with the Services; (d) perform high-volume automated scraping or benchmarking without written permission; (e) use outputs to develop competing models or products; (f) misrepresent outputs as human-generated research; or (g) remove proprietary notices. We may suspend or terminate accounts for violations.
5. Content, License, and Feedback
You retain ownership of documents and prompts you submit ("User Content"). You grant GOODWISH a worldwide, non-exclusive, sublicensable license to host, process, adapt, and display User Content and generated outputs as needed to provide and improve the Services, subject to the
Privacy Policy. You represent you have all rights to grant this license and that User Content does not infringe or contain unlawful material.
You may provide feedback; we may use it without restriction or attribution. We own the Services, models, generated reports, and all related intellectual property, subject only to the limited rights expressly granted to you under these Terms.
6. Payment and Trials
Fees, billing cycles, and usage limits are shown in the product or
pricing. Charges are processed by our payment processors (e.g., Stripe); you authorize recurring charges where applicable. Except where required by law, fees are non-refundable. We may change pricing with notice before the next billing term.
7. Third Parties and Links
The Services may link to or integrate with third-party sites, filings, or tools. We are not responsible for their content, availability, or terms. Your dealings with third parties are solely between you and them.
8. DMCA Notice
We respect intellectual property. Send DMCA takedown requests to
[email protected] with the information required by 17 U.S.C. §512(c)(3). Counter-notices should follow §512(g)(3) and consent to jurisdiction in the Northern District of California. We may remove content or terminate repeat infringers in our discretion.
9. Confidentiality
We will protect your nonpublic data using reasonable safeguards and only use or disclose it as permitted in these Terms and the Privacy Policy. You are responsible for the confidentiality of your credentials and any data you export from the Services.
10. Disclaimers
THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GOODWISH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF RESULTS. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT OUTPUTS WILL MEET YOUR REGULATORY OR COMPLIANCE NEEDS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GOODWISH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. GOODWISH'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID TO GOODWISH FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES; IN THOSE STATES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnity
You will indemnify and hold harmless GOODWISH, its affiliates, and their officers, directors, employees, and agents from any claim, loss, liability, and expense (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.
13. Governing Law; Arbitration; Class Waiver
These Terms are governed by Delaware law (excluding conflicts rules). Any dispute will be resolved by binding arbitration before JAMS in Kent County, Delaware, in English, under the JAMS Streamlined Arbitration Rules. The arbitrator may award individual relief only. You and GOODWISH waive any right to a jury trial or to participate in class, consolidated, or representative actions. Either party may seek injunctive relief in court to protect intellectual property or prevent unauthorized access.
14. Term and Termination
These Terms remain effective until terminated. You may stop using the Services at any time. We may suspend or terminate access with notice for material breach or immediately if required by law or to prevent harm. Sections intended to survive (including fees owed, IP, confidentiality, disclaimers, limits of liability, and arbitration) will continue after termination.
15. Changes to the Services or Terms
We may modify the Services or these Terms. Material changes will be posted on the site or sent to your account email. If you continue using the Services after changes take effect, you accept the updated Terms.
16. U.S. Consumer Notices
California users: under Cal. Civ. Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834 or by telephone at (800) 952-5210. For billing or account issues, first contact
[email protected].
17. Miscellaneous
You may not assign these Terms without our consent; we may assign them as part of a corporate transaction. If a provision is found unenforceable, it will be limited to the minimum extent necessary, and the remainder will stay in effect. These Terms (including linked policies) are the entire agreement between you and GOODWISH regarding the Services. No waiver is effective unless in writing.
